Terms of service

These terms are between Adryn Ltd (company number 17308893, registered office 71-75 Shelton Street, Covent Garden, London WC2H 9JQ; "Adryn", "we") and the business that signs up for VesselOverview ("the Customer", "you"). VesselOverview is sold to businesses only. It is not offered to consumers.

1. The service

1.1 VesselOverview is web-based software for running a vessel's day-to-day operations. Depending on the plan, it includes a status board, logs, crew lists and cabins; features we mark as in development are not yet available. It is used through a web browser at app.adryn.co ("the Service").

1.2 Each subscription covers one vessel. The Customer's administrator invites the people who may use it ("Users") and is responsible for who they invite and remove.

1.3 We may change or improve the Service. We will not remove a feature you are paying for without telling your administrator by email at least 30 days first.

2. Free trials

2.1 We may offer a free trial, normally 14 days. We tell you the end date when we invite you.

2.2 During a trial the Service is provided as it is, with no service commitment.

2.3 When the trial ends you can start a paid subscription from Settings → Vessel → Subscription, and everything on the vessel carries over.

2.4 We may suspend access to a trial vessel that has ended and not converted to a paid subscription. We will email the administrator at least 7 days before we do. Its data is then handled under clause 9.

3. Subscriptions, prices and payment

3.1 Prices are on our pricing page. Each plan covers a set number of users: everyone with a place on the vessel's crew list, including anyone invited who has not yet accepted. Logbook covers up to 5 users and costs £35 per vessel per month, or £350 per vessel per year paid in advance. Crew 12 covers up to 12 users and costs £95 per vessel per month, or £950 per year. Crew 30 covers up to 30 users and costs £175 per vessel per month, or £1,750 per year. Crew 60 covers up to 60 users and costs £295 per vessel per month, or £2,950 per year. Annual prices are paid in advance. Once a vessel reaches its plan's number of users, no one further can be added until it moves to a larger plan; no one already on the vessel is removed. Prices are in pounds sterling and exclude VAT, which is added where applicable.

3.2 Payment is taken by card through our payment provider, Stripe. A subscription renews automatically at the end of each billing period until it is cancelled.

3.3 You can cancel at any time from Manage billing. Cancellation takes effect at the end of the current billing period. Fees already paid are not refunded except where the law requires it or we agree otherwise.

3.4 If a payment fails, Stripe will retry it and we will contact you. We may suspend the Service if an invoice is more than 30 days overdue. We will give you at least 7 days' notice first.

3.5 We may change prices by giving at least 30 days' notice. The new price applies from your next renewal after the notice ends.

3.6 Fleet plans are priced by agreement. Anything we agree in writing for a Fleet customer takes precedence over these terms where the two differ.

4. Your data

4.1 You own the data you and your Users put into the Service ("Customer Data"). We use it only to provide, secure and support the Service. We never sell it, advertise with it or train AI models on it.

4.2 Where Customer Data includes personal data, for example about crew or guests, you are the controller and we are your processor. Our Data Processing Agreement forms part of these terms and applies automatically.

4.3 You are responsible for having a lawful basis for the personal data you enter, and for telling the people concerned, for example your crew, that you use the Service.

5. Acceptable use

You and your Users must not: use the Service unlawfully; try to reach another customer's data; probe, overload or disrupt the Service; resell or give access to anyone outside your vessel's operation; or upload malicious code. We may suspend a User or account that does, and we will tell you why.

6. Support and availability

6.1 Support is by email at support@adryn.co. We aim to respond by the next business day.

6.2 We aim to keep the Service available but do not guarantee it will be uninterrupted. It depends on an internet connection. The Service does not currently work offline.

6.3 Named Adryn staff can access your vessel's data to provide support and keep the Service running. Changes they make are recorded under their own names in the vessel's change log.

7. Confidentiality and security

Each party keeps the other's confidential information confidential. We protect Customer Data with the security measures described in the Data Processing Agreement.

8. Liability

8.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

8.2 The Service is an operational aid. It does not replace the master's judgement, the vessel's safety-management system, or any statutory log, certificate or record. You remain responsible for the safe operation of the vessel.

8.3 Neither party is liable for indirect or consequential loss, or for loss of profit, revenue or data beyond the cost of restoring it from our backups.

8.4 Each party's total liability under these terms in any 12 months is limited to the fees the Customer paid in that period.

9. Ending the agreement

9.1 Either party may end these terms by cancelling the subscription (clause 3.3). We may end them straight away if you materially breach them and do not put it right within 14 days of being told.

9.2 Your data when you leave. For 30 days after the end, you can ask us for a copy of your Customer Data. We send it in a common machine-readable format (CSV or JSON) at no charge. There is no self-service export in the product yet, so this is done by request. After those 30 days we delete Customer Data. Backup copies are deleted when the backups expire, within 7 days.

10. General

10.1 We may update these terms. We will give at least 30 days' notice of a material change, by email to your administrator.

10.2 These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction.
